# Terms of Service

**In plain language.** Lid is infrastructure for selling digital products. A Creator uploads a product. A link gets shared. A Buyer pays in USDC. A smart contract splits the payment between the Creator, the Affiliate, and Lid — in the same transaction. Flat 3% fee. No custody. No holds.

Six things to know before you keep reading.

1. You need a wallet to use Lid. You control it. We do not.
2. Transactions on Solana are final. We cannot reverse them.
3. Affiliates are permissionless. Anyone can share a product link and earn a share of the sale.
4. Our fee is flat 3% on every transaction. It settles in the same transaction as the sale.
5. Creators are responsible for the products they list. Buyers are responsible for what they buy.
6. Governing law is UAE federal law. Courts of Dubai have jurisdiction.

## 1. Who we are

Lid Labs Technologies - FZCO is a free zone company registered in Dubai, United Arab Emirates.

In these Terms, "**Lid**," "**we**," "**us**," and "**our**" mean Lid Labs Technologies - FZCO. "**You**" and "**your**" mean the person or company using Lid.

## 2. What Lid is

Lid is a programmable commerce routing layer built on the Solana blockchain. It lets a **Creator** list a digital product, lets any **Affiliate** share a referral link, and lets a **Buyer** pay for the product in USDC. A smart contract executes the sale and splits the payment between the Creator, the Affiliate (if any), and Lid — atomically, in the same transaction.

Lid does the routing. Lid does not hold funds, does not create the product, and does not deliver the product. Payments move directly between wallets through the smart contract.

## 3. Eligibility

To use Lid you must:

* Be at least 18 years old, or the age of majority in your jurisdiction — whichever is higher.
* Have the legal capacity to enter into a binding contract.
* Not be a resident of, or located in, any country subject to comprehensive sanctions by the UN, the US, the EU, the UK, or the UAE. This includes jurisdictions like Iran, North Korea, Syria, Cuba, and the Crimea, DNR, and LNR regions.
* Not appear on any applicable sanctions list, including the OFAC SDN list and UN consolidated list.
* Comply with all laws that apply to you, including tax, AML, and consumer-protection laws in your jurisdiction.

If you use Lid on behalf of a company, you confirm you have authority to bind that company. The company is then bound by these Terms.

Lid is not available in jurisdictions where the service, the sale of digital products for stablecoins, or the use of non-custodial wallets is restricted by law.

## 4. Your account and your wallet

Lid uses a connected wallet as your account. Your wallet is your identity on Lid.

You are responsible for:

* Keeping your private keys, recovery phrase, and session credentials safe.
* Every transaction signed with your wallet.
* Keeping your account information current, including email and display name.

Lid never has custody of your wallet, your keys, or your funds. If you lose your keys, we cannot recover your wallet and we cannot recover funds held in it.

If you log in through an embedded wallet provider (for example, Privy), that provider's terms and security model apply to how your keys are generated and stored. See the [Privacy Policy](/legal/privacy.md) for the list of providers we work with.

You may close your account at any time by stopping use of the service. Closing an account does not reverse past transactions.

## 5. Roles on Lid

### Creator (Seller)

A Creator lists a digital product on Lid. By listing a product, the Creator represents and warrants that:

* The Creator owns the product or has the rights needed to sell it.
* The product does not infringe any third-party intellectual property right.
* The product description, preview, and pricing are accurate.
* The product does not fall into the prohibited content list in Section 10.
* The Creator is responsible for any tax, licensing, or regulatory obligation connected to the sale of the product in the jurisdictions where the Creator sells.
* The Creator will deliver what is described. Delivery is between the Creator and the Buyer. Lid only routes the payment.

### Affiliate

An Affiliate shares a Creator's product with attribution. Affiliate participation on Lid is **permissionless** — no approval is required. By sharing an affiliate link, the Affiliate agrees:

* To respect the Creator's brand and description of the product. No misrepresentation.
* To not send traffic through spam, bots, malware, deceptive redirects, or incentivised clicks that violate advertising standards.
* To disclose affiliate relationships where the law requires it — for example, US FTC endorsement guidelines, UK CAP Code, EU P2B Regulation, UAE Media Council Influencer Regulations.
* To not share products in ways that violate any platform's Terms of Service (for example, running paid ads that break Meta or Google policies).
* That commission is earned only when a sale completes through the Affiliate's attributed link, and is paid instantly in USDC by the smart contract. No retroactive commissions. No manual overrides by Lid.

Lid does not guarantee any level of affiliate traffic, conversion, or earnings.

### Buyer

A Buyer purchases a digital product through Lid. By completing a purchase, the Buyer:

* Confirms the payment is authorised by the Buyer's wallet owner.
* Accepts that the transaction is final and cannot be reversed once confirmed on Solana.
* Takes delivery of the product from the Creator under the Creator's own terms, which may include a refund policy.
* Is responsible for reading the product description before paying.

## 6. Fees

Lid charges a **flat 3% infrastructure fee** on every completed transaction. The fee is calculated on the gross sale price and is deducted by the smart contract at the point of sale. There are no monthly fees, listing fees, or payout fees today.

When Lid introduces paid tiers in the future, any new fee applies only after you accept the revised Terms for that tier. Use of the core loop — product creation, affiliate sharing, checkout, and instant payouts — will stay available at 3%.

Network fees on Solana (gas) are paid by the party submitting the transaction and are separate from the Lid fee. Lid does not set, receive, or refund network fees.

## 7. Payments, settlement, and splits

All settlements on Lid happen in USDC on the Solana blockchain. The smart contract enforces the split with mathematical certainty. For each completed sale:

* The Creator receives the Creator share (gross price minus Lid fee minus Affiliate share, if any).
* The Affiliate, if attributed to the sale, receives the Affiliate share set by the Creator.
* Lid receives the 3% infrastructure fee.
* All three transfers happen in the same on-chain transaction.

Settlement is instant. There is no holding period. There is no manual payout schedule.

Lid does not operate a custodial wallet, does not offer bank accounts, and does not convert USDC to fiat currency. A fiat off-ramp is planned for the future; it is not available today.

If a transaction fails on the Solana network, no fee, Creator share, or Affiliate share is collected. Failed transactions do not create any obligation between the parties.

## 8. Taxes

You are responsible for reporting and paying any tax you owe on your activity on Lid. This includes — without limit — income tax, corporate tax, VAT, sales tax, and withholding obligations, in every jurisdiction where you are taxable.

Lid does not withhold tax from payouts. Lid does not issue tax invoices on your behalf. Lid does not provide tax advice.

Lid may be required to collect and disclose tax-related information to UAE tax authorities or other competent authorities. If this applies to you, we will tell you what is needed.

## 9. Intellectual property

### Your content

You keep all rights to the content you upload to Lid — product files, images, descriptions, and text. By uploading content to Lid, you grant Lid a worldwide, non-exclusive, royalty-free licence to host, store, transmit, cache, display, and distribute your content solely to operate and improve Lid, run the checkout experience, and let Affiliates and Buyers access the product. This licence ends when you remove the content, except for copies kept for legal, audit, or backup purposes.

### Lid's brand

"Lid," "Lid.pro," the Lid logo, and the Lid visual system are owned by Lid Labs Technologies - FZCO. You may reference Lid as your payment infrastructure and use our name and logo in standard "Powered by Lid" contexts. You may not use Lid's brand to imply partnership, endorsement, or any relationship we have not agreed to in writing.

### The platform

The Lid platform, smart contracts, user interfaces, documentation, and code — excluding your own content — are the property of Lid or its licensors. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from the platform, except where an explicit licence in writing allows it or the law requires otherwise.

## 10. Prohibited content and conduct

You may not use Lid to sell, promote, share, or distribute:

* Products that infringe any third party's intellectual property.
* Illegal content under the laws of the UAE or the Creator's or Buyer's jurisdiction.
* Content that sexualises minors, incites violence, promotes terrorism, or facilitates human trafficking.
* Gambling, lotteries, or betting products.
* Weapons, ammunition, or instructions for building weapons.
* Controlled substances, narcotics, or prescription drugs.
* Financial products that require a regulated licence — securities, investment contracts, derivatives, unregistered tokens, or ICO-style offerings.
* Malware, spyware, phishing kits, or any product whose purpose is to compromise a system or a person.
* Content that violates privacy or sells personal data without a lawful basis.
* Political campaign products, government impersonation, or misinformation targeting elections.
* Content that violates UAE Federal Law or UAE Media Council content standards — including content offensive to Islam, other recognised religions, the UAE's leadership, or public morality.

You also may not:

* Use Lid to launder funds, evade sanctions, or move proceeds of crime.
* Attempt to bypass the smart contract split, misattribute an affiliate, or mislead Buyers about what is being sold.
* Interfere with, probe, or attack the Lid platform, its smart contracts, or any connected service.
* Use automated tools to scrape Lid data beyond what the public API allows.
* Impersonate another Creator, Affiliate, or person.

Lid may remove content, suspend access, or disable wallets involved in any violation. We may report violations to competent authorities where required.

## 11. Third-party services

Lid integrates with third-party services that are essential to how the platform works. These include — among others — Privy (wallet and authentication), Alchemy (Solana RPC), Pinata (IPFS storage for product metadata), Helius (webhooks and transaction monitoring), and the Circle-issued USDC stablecoin on Solana.

Each of these services has its own terms and privacy policy. Your use of Lid is also subject to those terms, to the extent they govern the service provided. Lid does not control these services and is not responsible for their availability, performance, or changes.

## 12. Availability and support

Lid is provided on an "as available" basis. We work to keep the service running without interruption, and we rely on the Solana network, Internet infrastructure, and third-party services to deliver it. We cannot guarantee uninterrupted access.

Support is provided through the channels listed on [lid.pro](https://lid.pro). Response times depend on the nature of the issue. Support is not available for product-level disputes between Creators and Buyers, except where Lid's infrastructure is clearly at fault.

## 13. Suspension and termination

We may suspend or terminate your access to Lid if:

* You breach these Terms.
* You are added to a sanctions list or become a resident of a restricted jurisdiction.
* We are required to suspend access by law, regulator action, or court order.
* We have a reasonable belief that your use of Lid threatens the integrity of the platform, other users, or the smart contracts.

We will tell you about the suspension where we are allowed to. In cases of serious risk, we may act without notice.

You can stop using Lid at any time. Stopping use does not erase completed on-chain transactions, since those are recorded on a public blockchain outside our control.

Sections that by their nature should survive termination — including IP, disclaimers, limitation of liability, indemnification, and governing law — will survive.

## 14. Disclaimers

The Lid platform, including its smart contracts and user interfaces, is provided **"as is" and "as available."** We make no warranty — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the service will be uninterrupted, timely, secure, or error-free.

Lid does not warrant:

* The performance of the Solana network.
* The stability or price of USDC or any stablecoin.
* That a smart contract will always execute as expected under all network conditions.
* The quality, legality, or delivery of any product listed by a Creator.
* The conduct of any Affiliate or Buyer.

Read the [Risk Disclosure](/legal/risk-disclosure.md) carefully before using Lid. You are entering a blockchain-based system. Mistakes and outages can lead to loss. Only commit funds or products you can afford to lose.

## 15. Limitation of liability

To the maximum extent permitted by law:

* Lid is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, lost goodwill, or business interruption, even if we were told about the possibility of such damage.
* Lid's total aggregate liability to you, for any claim arising out of or connected to these Terms or your use of Lid, is capped at the greater of (a) the total fees Lid actually collected from your transactions in the twelve months before the claim, or (b) **one hundred US dollars (USD 100)**.

Nothing in these Terms excludes liability for fraud, wilful misconduct, death, or personal injury caused by our negligence, or any liability that cannot be excluded under applicable law.

## 16. Indemnification

You agree to defend, indemnify, and hold harmless Lid Labs Technologies - FZCO, its directors, officers, employees, and contractors from any claim, loss, damage, liability, cost, or expense — including reasonable legal fees — arising out of or connected to:

* Your use of Lid.
* Your breach of these Terms.
* A product you listed, shared, or bought through Lid.
* Your violation of any law, regulation, or third-party right.

We may, at our own cost, take over the defence of any claim covered by this indemnity. You agree to cooperate.

## 17. Modifications

We may change these Terms to reflect new features, legal requirements, or changes to how Lid works. When we do, we will post the updated version at [lid.pro/terms](https://lid.pro/terms) and change the "Last updated" date at the top of this document.

For material changes, we will give at least 30 days' notice through email or an in-product notice. If you keep using Lid after the notice period, you accept the revised Terms. If you do not accept them, stop using Lid. On-chain transactions already completed before a change remain governed by the Terms in force at the time of the transaction.

## 18. Governing law and dispute resolution

These Terms, and any non-contractual obligation arising out of or connected to them, are governed by the **federal laws of the United Arab Emirates** and the laws of the Emirate of Dubai that apply to them.

The **courts of Dubai** have exclusive jurisdiction over any dispute arising out of or connected to these Terms or your use of Lid. Nothing in this clause prevents Lid from seeking injunctive or equitable relief in any competent court to protect its intellectual property, confidential information, or the integrity of the smart contracts.

Where a dispute involves a consumer whose jurisdiction grants mandatory protections, nothing in this clause takes away any protection the consumer has under the mandatory law of their residence.

## 19. General

**Assignment.** You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a reorganisation, merger, or sale.

**Severability.** If a court finds any part of these Terms unenforceable, the rest stay in force.

**No waiver.** Our failure to enforce a right does not waive it.

**Entire agreement.** These Terms, together with the [Privacy Policy](/legal/privacy.md), the [Cookie Policy](/legal/cookies.md), and the [Risk Disclosure](/legal/risk-disclosure.md), are the full agreement between you and Lid on the subject. They replace any prior agreement on the same subject.

**Language.** These Terms are written in English. If we publish translations, the English version controls in case of conflict, except where local law requires the local-language version to control.

**Notices.** Formal notices to Lid must be sent to `legal@lid.pro` and copied to the registered office above. We may send notices to you through email, in-product notifications, or wallet-bound messaging.
